Terms of Use

1. Agreement and eligibility

These Terms of Use govern your access to happytides.co, your account, and purchases from HappyTides. By using the site or placing an order, you agree to these Terms, the Privacy Policy, and the Shipping & Returns Policy.

You must be at least 21 years old and legally able to enter a binding agreement. Products may be purchased only by qualified researchers or research organizations with the facilities, training, and authority necessary to handle laboratory reference materials safely and lawfully.

2. Research-use-only products

All products are offered solely for qualified in-vitro laboratory research. They are not medicines, foods, cosmetics, dietary supplements, medical devices, or veterinary products. They are not for human or animal consumption, administration, diagnosis, treatment, cure, mitigation, or prevention of disease.

You are responsible for evaluating product suitability, maintaining appropriate laboratory controls, and complying with all applicable laws, institutional rules, permits, storage requirements, and disposal requirements. Human or animal use and resale for such use are prohibited.

3. Site information

Website materials are general research information and are not medical, legal, regulatory, or professional advice. Research summaries may describe published or preclinical work but do not establish safety, efficacy, or suitability for any personal use.

We may correct errors and change product information, availability, or prices before an order is accepted. Certificates of Analysis apply only to the lot identified on the certificate.

4. Orders, United States sales, and payment

Orders are accepted for valid United States shipping addresses only. An order is not accepted until payment is verified and HappyTides confirms it for fulfillment. We may reject, cancel, limit, or place an order on hold for compliance, qualification, fraud-prevention, inventory, address, pricing, or payment-verification reasons. If we cancel a paid order, we will issue the appropriate refund.

Payment is processed on hosted pages operated by the payment method shown at checkout. HappyTides does not receive or store complete card or bank-account credentials. Taxes, shipping charges, discounts, and the final total are shown before payment is submitted.

5. Shipping, delivery, and returns

Shipping, delivery, damage, missing-package, replacement, and refund rules are stated in the Shipping & Returns Policy, which is incorporated into these Terms. Damaged, incorrect, or missing shipments must be reported within seven days of delivery or the applicable expected delivery date. Verified issues receive a replacement or refund. Other sales are final.

6. Accounts and communications

You must provide accurate account, contact, and shipping information and protect access to your email account and sign-in codes. You are responsible for activity performed through your authenticated session. Tell us promptly if you suspect unauthorized access.

You agree to receive transactional communications needed to verify your account, process orders, provide support, and communicate policy or security notices. Marketing communications, if offered, are optional.

7. Partner program

Partner applications and codes are subject to approval and may be disabled for misuse, self-referral, misleading promotion, unlawful claims, or violation of these Terms. Program rates, attribution windows, eligibility, and payout timing are governed by the terms displayed in the Partner dashboard. Pending applications do not create a right to discounts, commissions, or payouts.

8. Prohibited conduct

You may not misuse the site; bypass security or rate limits; submit false information; interfere with checkout, webhooks, inventory, or accounts; scrape or automate access in a harmful manner; infringe intellectual property; or use the site or products for unlawful, deceptive, human, or animal use.

9. Intellectual property

The HappyTides name, site design, text, graphics, product photography, labels, software, and other site content are owned by HappyTides or used with permission and are protected by applicable intellectual-property laws. No license is granted except the limited right to use the site for its intended purpose.

10. Disclaimers

To the maximum extent permitted by law, the site and products are provided without warranties beyond any express written specification supplied with the applicable lot. HappyTides disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted site availability or that research information is complete or error-free.

Some jurisdictions do not allow certain warranty exclusions, so part of this section may not apply to you.

11. Limitation of liability

To the maximum extent permitted by law, HappyTides will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, data, goodwill, or research opportunity, arising from the site, products, or misuse of products. HappyTides’ aggregate liability for a claim will not exceed the amount paid for the order giving rise to that claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold HappyTides harmless from third-party claims, losses, and reasonable costs arising from your unlawful conduct, prohibited use, product misuse, material breach of these Terms, or violation of another person’s rights.

13. Third-party services and force majeure

The site relies on third-party hosting, authentication, communications, payment, analytics, and shipping services. Their own terms may govern your direct interaction with them. HappyTides is not responsible for delays or failures caused by events beyond reasonable control, including carrier disruption, network failure, natural disaster, labor action, government action, or widespread service outage.

14. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute that is not subject to a legally required alternative forum will be brought in a court of competent jurisdiction in Florida. Mandatory consumer protections that apply in your jurisdiction are not waived.

15. Changes, severability, and entire agreement

We may update these Terms prospectively by posting a revised effective date. Material changes will not retroactively alter an accepted order unless required by law. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. These Terms and the policies incorporated here form the entire agreement concerning the site and storefront orders.
